1. Introduction

These Terms and Conditions ("Agreement") govern the use of services provided by Smart Tech Messaging Ltd, trading as Apiregistrar ("Apiregistrar", "we", "us", or "our"), a company registered under the laws of the United Kingdom with its principal place of business at 128 City Road, London, EC1V 2NX.

By creating an account, requesting API access, or using our services in any way, you ("Client", "you", or "your") confirm that you have read, understood, and agreed to be bound by these Terms and Conditions and our Privacy Policy. If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to this Agreement.

If you do not agree to these terms, you must not use our services.

2. Services Provided

Apiregistrar operates as a domain reseller platform designed to integrate seamlessly with various software and SaaS systems. We connect to multiple domain registrars, allowing us to dynamically select the most cost-effective option for each domain transaction. Our services are provided exclusively through an API, offering a streamlined experience for clients to manage domain registrations, renewals, and related tasks.

Our clients benefit from a flexible and scalable infrastructure that automates domain provisioning, while ensuring compliance with industry standards. We maintain strong upstream relationships to deliver stable, secure, and high-availability services globally.

3. Eligibility and Jurisdiction

Our services are intended exclusively for business entities. We operate internationally, but we reserve the right to deny or restrict service in any jurisdiction subject to trade sanctions, embargoes, or other restrictions under UK law or international regulatory frameworks. We do not serve individuals, or entities located in blacklisted or high-risk countries.

Clients are responsible for ensuring their use of our services complies with all local laws and industry regulations in their jurisdiction.

4. Account Registration and Integration

To access Apiregistrar’s services, clients must register for an account. As part of this process, we collect basic company and contact information to create your account and begin the onboarding process.

Once registration is complete, we initiate technical integration to connect our API with the client’s systems. This includes the provisioning of authentication credentials, testing of communication endpoints, and validation of domain management workflows. We work collaboratively with your development team to complete the integration efficiently and securely.

The API integration is also used to administer your account, provision services, and facilitate billing.

We support both prepaid and postpaid billing models, subject to approval. Your billing arrangement, currency, and funding method will be specified during onboarding.

Clients are responsible for maintaining the security of their API credentials and restricting access to authorized users. Unauthorized use or suspected compromise must be reported immediately to our support team.

5. Payment Terms

Apiregistrar operates primarily on a prepaid basis, where clients deposit funds in advance to cover domain registrations and related services. In select cases, clients may be approved for postpaid billing, subject to credit checks and internal approval criteria.

Payments can be made using the payment methods listed in the client dashboard. Invoices, statements, and account balance information are available through the client portal or API.

A setup fee may apply for the technical integration required to connect your systems to our API. The fee depends on the complexity, scope, and resource requirements of the integration process. This will be clearly communicated during onboarding.

There are no recurring or hidden administrative fees unless explicitly agreed in writing. Domain pricing, promotions, and other charges are made available via API or client documentation.

6. Domain Registration and Management

All domain registrations are performed on behalf of clients and are subject to the terms, conditions, and technical requirements of the applicable domain registries. Registrations are processed through our network of upstream providers, and final confirmation is dependent on the relevant registry's acceptance.

Clients are responsible for ensuring that all domain names and usage comply with applicable laws, industry standards, and any contractual obligations tied to the registry or TLD.

We do not guarantee the success or timeliness of any registration, renewal, or transfer request. Clients are advised to perform availability checks and monitor expirations proactively.

We reserve the right to suspend, cancel, or modify any domain-related transaction to prevent fraud, resolve errors, comply with legal or regulatory requirements, or ensure system integrity.

7. Abuse Policy

We take abuse very seriously and are committed to maintaining a safe, legal, and trustworthy use of our domain services. This policy outlines how we define abuse, how we handle abuse reports, and the consequences for violations.

8. Compliance with Upstream Providers

As part of our domain provisioning infrastructure, Apiregistrar relies on upstream registrars and service providers. Clients must ensure that their use of our services does not place us or our providers in violation of any contractual or legal obligations.

We may suspend or terminate any client account without notice if we are required to do so to remain in compliance with upstream provider requirements or industry-wide mandates.

While we do not disclose specific names of our providers, clients acknowledge that we must act in accordance with third-party policies which may change without prior notice.

9. Resale of Services

Clients are permitted to resell our services to third parties, including end-customers or other resellers, provided they assume full responsibility for all downstream activity.

You must ensure that your customers comply with all applicable laws, these Terms and Conditions, and any applicable registry rules. Any abuse or non-compliance by your customers will be treated as your own and subject to enforcement.

You may not present yourself as an official partner, agent, or representative of Apiregistrar unless you have signed a separate written agreement authorizing such representation.

10. Data Protection and Privacy

You agree to comply with all applicable data protection laws and regulations, including but not limited to the UK General Data Protection Regulation (UK GDPR), the EU GDPR (where applicable), and any relevant local data protection statutes.

As part of our services, we may process personal data on your behalf, such as registrant contact information. In such cases, you act as the data controller and we act as a data processor. Our obligations in this role are defined in our Privacy Policy.

We implement appropriate technical and organizational measures to ensure the security, integrity, and confidentiality of the data we process. Clients are also responsible for obtaining valid legal consent from any individuals whose data is shared with us.

11. Service Availability and Disclaimers

We aim to provide highly available and reliable services. However, we do not warrant uninterrupted access to our API or services. Planned maintenance, network disruptions, or third-party outages may affect availability.

All services are provided “as is” and “as available” without warranties of any kind, either express or implied. We disclaim all warranties including but not limited to fitness for a particular purpose, merchantability, and non-infringement.

We are not responsible for any loss of data, profits, business opportunities, or domain names due to service outages, errors, or acts of third parties.

12. Limitation of Liability

To the maximum extent permitted by law, our total aggregate liability under this Agreement shall not exceed the total amount paid by you to Apiregistrar in the twelve (12) months preceding the event giving rise to the claim.

We are not liable for any indirect, incidental, consequential, or punitive damages, including but not limited to loss of profits, data, or business interruption, even if we were advised of the possibility of such damages.

13. Termination

We may terminate or suspend your access to our services at any time and for any reason, with or without notice, including but not limited to:

Upon termination, all rights and licenses granted to you will immediately cease. You are responsible for securing backups and transitioning domains before account closure. No appeals or dispute resolution will be offered unless otherwise required by law.

14. Amendments

We reserve the right to modify these Terms and Conditions at any time. Changes will be posted on our website and/or sent via email to your registered contact. Your continued use of the services after such modifications constitutes acceptance of the updated terms.

You are responsible for reviewing the Terms regularly to ensure awareness of any updates.

15. Entire Agreement

These Terms and Conditions, together with our Privacy Policy, constitute the entire agreement between you and Apiregistrar regarding the use of our services and supersede all prior agreements, understandings, and communications.

No oral or written statements outside this Agreement shall be binding unless expressly incorporated herein.

16. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of England and Wales.
